1. Who we are

“RunwayDigest”, “we”, “our”, or “us” refers to the provider of the RunwayDigest service.

2. The service

The service generates an email report (“Report”) based on information you submit (e.g., cash on hand, MRR, costs, growth rate). The Report is provided for informational purposes only.

3. Not financial advice; no guarantees

The service and Reports are not financial, investment, legal, or tax advice. We are not a registered investment adviser, broker-dealer, law firm, or accounting firm. You are solely responsible for decisions you make based on the Reports.

We do not guarantee that the Reports are accurate, complete, or suitable for any purpose, and we do not guarantee any specific results (including improved runway, fundraising outcomes, or business performance).

4. Eligibility and acceptable use

• You must have the legal capacity to enter into these Terms.
• You will not use the service for unlawful, harmful, or abusive purposes.
• You will not attempt to reverse engineer, scrape, disrupt, or misuse the service.
• You will not submit content you do not have the right to provide.

5. Subscriptions, billing, and taxes

Paid access is offered on a subscription basis (e.g., $99/month). Payments are processed by Paddle (our Merchant of Record). Paddle may calculate, collect, and remit applicable taxes (such as VAT/GST/sales tax) based on the customer’s location and status.

If there is any conflict between Paddle’s checkout terms and these Terms regarding payment processing, Paddle’s payment terms apply to the transaction.

6. Cancellation

You can cancel your subscription at any time through the checkout provider’s customer portal or receipt link (as provided by Paddle). Unless required by law, cancellation stops future renewals; you typically retain access until the end of the current billing period.

7. Refunds

Our refund policy is described at /refund and is incorporated into these Terms.

8. Intellectual property

We own the service, materials, and underlying content (excluding your submitted data). You receive a limited, non-exclusive, non-transferable right to use the Reports for your internal business purposes.

9. Third-party services

The service may rely on third-party tools (e.g., form provider, automation tools, email delivery, payment processing). We are not responsible for third-party outages, errors, or policy changes.

10. Service availability and changes

We may modify, suspend, or discontinue the service at any time. We will try to provide reasonable notice when practical.

11. Limitation of liability

To the maximum extent permitted by law, we will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, goodwill, or business opportunities arising out of or related to your use of the service or Reports.

To the maximum extent permitted by law, our total liability for any claim relating to the service will not exceed the amount you paid for the service in the three (3) months immediately preceding the event giving rise to the claim.

12. Indemnity

You agree to indemnify and hold us harmless from any claims, liabilities, damages, and expenses (including reasonable attorneys’ fees) arising from your misuse of the service or violation of these Terms.

13. Governing law

These Terms are governed by the laws of Japan, without regard to conflict of laws rules. Venue for disputes will be in Tokyo.

14. Changes to these Terms

We may update these Terms from time to time. The “Effective date” will reflect the latest version. Continued use after changes means you accept the updated Terms.
